Terms of Service
Last updated October 23, 2026
The short version: DownNote is a notes app with AI features, sold by subscription. Use it legally and honestly, don't use it to break the rules of an exam, interview or workplace, and remember the AI can make mistakes. Your notes belong to you. You can cancel anytime.
These terms are an agreement between you and Davin Joseph Leggett, doing business as DownNote ("we", "us"). By using the DownNote app or website, you agree to them. If you don't agree, please don't use DownNote.
1. Your account
You sign in with your email address. Keep access to that email secure, because anyone who can read it can sign in to your account. You must be at least 13 years old to use DownNote, and old enough to form a binding contract where you live to buy a paid plan. You're responsible for what happens under your account.
2. Plans and payment
- DownNote has a free plan and paid plans, billed monthly or yearly. The current plans and prices are on our pricing page.
- Paid plans renew automatically at the end of each billing period until you cancel. We charge the payment method on file through our payment processor.
- You can cancel anytime. You keep your plan until the end of the period you've paid for, and then your account moves to the free plan. Your notes are never deleted because you cancel.
- Refunds are described in our refund policy.
- Founding-member pricing stays the same for as long as you keep that subscription active without canceling.
- If we change prices, we'll tell you at least 30 days before the change affects you, and you can cancel before it takes effect.
- Each plan includes a monthly number of AI questions. Unused questions don't carry over. Student plans are for students with a valid school email address.
3. Using DownNote responsibly
You agree not to use DownNote to:
- break the law, or the rules of an exam, test, certification, job interview, school or workplace that doesn't allow notes or outside help;
- record, capture or share other people's information without the consent the law requires;
- misuse our AI features, try to get around plan limits, or overload, attack or reverse-engineer our services;
- resell or share your account with people outside your plan.
Keeping DownNote out of screen shares is a privacy feature for your own notes. Whether you're allowed to use notes in a particular situation is your responsibility.
4. Your content
Your notes, pages and imported documents belong to you. You give us only the permission we need to provide the service, such as passing your notes to our AI provider when you ask a question. Make sure you have the right to import and use the documents you add.
5. AI features
AI answers and summaries are generated automatically and can be wrong or incomplete. Check anything important against your own notes before relying on it, especially prices, dates, legal, medical or financial information.
6. Changes and availability
We're always improving DownNote, so features may change. We'll try to keep the service running smoothly but can't promise it will always be available or error-free. Keep backups of anything important.
7. Ending your use
You can stop using DownNote and delete your account at any time by emailing us. We may suspend or close accounts that break these terms, after warning you when we reasonably can.
8. Disclaimers
DownNote is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.
9. Limit of liability
To the fullest extent the law allows, we aren't liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, data or business. Our total liability for any claim relating to DownNote is limited to the amount you paid us in the 12 months before the claim, or $50 if you haven't paid us anything. Some places don't allow these limits, so they may not all apply to you.
10. Governing law
These terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-law rules. Any dispute will be handled in the state or federal courts located in Florida, unless the law where you live gives you the right to bring a claim elsewhere.
11. Changes to these terms
If we make meaningful changes, we'll update the date above and let account holders know by email or in the app before the changes take effect. Continuing to use DownNote after that means you accept the updated terms.
